WITH DISTRIBUTORS ABROAD (REVISION OF THE MODEL CONTRACT)
In the light of the development of European law, Orgalime regularly updates the existing model contracts it offers. The modification of its publication "Model form of Exclusive Agreement with Distributors Abroad" has been undertaken to comply with changes requirements of European Competition law. The amendments ensue from the Block Exemption Regulation of the European Commission N° 2790/1999 of 22 December 1999 regarding vertical agreements. The model contract replaces the version which was published in 1990.
SCOPE OF THE MODEL CONTRACT
The model is made for distribution agreements with distributors abroad. It is suitable for contracts with both distributors pursuing their activities outside the member states of the European Union and the other states of the EEA and those having their business inside this area. This is why some clauses contain so-called EU/EEA variants and non-EU/EEA variants to suit the individual transactions.
